Terms and Conditions
To those with established credit, a deposit of 50% of the purchase price is required to be submitted with the purchase order or invoice. The balance of payment is net thirty (30) days FOB from Atlanta, USA, from the date of shipment from Media Safe, Inc., (MSI).
If an order is canceled before shipping, a cancellation fee of up to 10% will be assessed. A contract cannot be canceled after the products have been shipped. Any past due invoices will be charged 1.5% per month interest.
All transactions are quoted in U.S. dollars. Payment must be made in U.S. dollars and are not subject to any alteration due to currency exchange rate or valuation of any kind. MSI's acceptance of an order is expressly conditioned upon purchaser's agreement of these terms and conditions of sale and may not be altered in any manner. Acceptance of a Purchase Order by MSI may be made only by an officer or manager of MSI. The Purchase Order shall serve as confirmation of the agreement between the purchaser and MSI. This statement comprises the full and complete expression of the agreement of the parties, with no other prior or subsequent agreements, representations, or promises, whether written or oral. The respective rights of the parties are to be determined according to the laws of the State of Georgia, USA and each party submits to the exclusive jurisdiction of the State of Georgia, USA.
Test Market Policy: *
Upon agreement by MSI, Secure-One samples will be shipped freight collect*, FOB, Atlanta, Georgia, USA. Secure-One samples are the responsibility of the requesting agent. MSI disclaims any warranty for vending boxes in which Secure-One units are installed. The test market samples must be returned to MSI within 60 days after receipt of samples. Notice of return must be in writing prior to shipping. The units must be returned freight prepaid to MSI. The requesting agent will reimburse MSI for any damage to test market samples. Installation and removal of a Secure-One unit, as per written instructions, is the responsibility of the requesting agent. Shipping
MSI will ship the product as soon as possible. The Industry standard for shipping is 120 days after receipt of the Purchase Order. MSI will notify purchaser approximately 10 days prior to actual shipping. Shipping is prepaid and added to the final invoice. MSI will not be responsible or liable for delays or non-delivery resulting from situations beyond the control of MSI. Unless specified, MSI will choose the freight carrier. Title to the goods is transferred from the MSI to Purchaser upon delivery by MSI to a carrier, at which time the risk of loss or damage also passes to the Purchaser. Purchaser should not sign the bill of lading without being certain the order is undamaged and complete.
Installation Policy:
The Purchaser is responsible for installing the Secure-One unit. The purchaser will receive two tools, an installation manual, internet support, and a CD. Telephone and email is available during business hours. This will be all that is needed to install the Secure-one units into the appropriate newspaper boxes. For orders of thirty two (32) units or more, inside the USA, a factory trained representative will spend up to 48 hours, over a 3-day period, to train and advise purchaser and/or his agents on the installation and trouble shooting techniques.
Return Policy:
Any returns must have a return authorization number from MSI. Authorization will be granted for defective products. No product will be replaced or credit issued until defective products are returned to MSI's warehouse and examined by MSI. No credit will be given if the purchaser has signed the bill of lading affirming that the shipment is undamaged and complete.
